The Argentina international agreed to move to Villarreal after leaving Valencia on a free transfer and penned a deal with a €6m buy-out clause.
Zaragoza have now met that buy-out clause and after negotiations with Villarreal and Ayala's agent, have bought the player's contract.
Ayala is preparing to appear in the Copa América final in Venezuela with Argentina and has claimed that he is in the dark over a move to La Romareda.
"I do not know anything about this," he said. "What I can confirm though is that I have not signed anything."
However, his representative Gustavo Mascardi has repeated that a deal has been agreed and that Ayala will be joining compatriots Pablo Aimar and Diego Milito at Zaragoza.
"We have spent more than three days in talks with Zaragoza to close the deal and it now appears that everything has been finalised," he said.
"Everything has been done correctly and above board."
Zaragoza were keen to bring in a new central defender after selling Gabriel Milito to FC Barcelona and were believed to be in negotiations with Depor's Fabricio Coloccini.
The move for Ayala has come a huge surprise, but Villarreal will not be complaining after making a €6m profit.
